LEAD MANAGER CA — TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY.
BY SELECTING "I AGREE", CREATING AN ACCOUNT, OR USING THE APP, YOU CONFIRM YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE APP.
IMPORTANT: USE OF THE APP ALSO REQUIRES ACCEPTANCE OF OUR PRIVACY POLICY. IF YOU DO NOT ACCEPT THE PRIVACY POLICY, YOU MAY NOT ACCESS OR USE THE APP.
This document is provided for general information and is not legal advice.
1) Definitions
- "App" means the Lead Manager CA mobile/desktop application and related services.
- "We", "us", "our" means Lead Manager CA (Ontario, Canada).
- "You" means the individual or business creating an account or using the App.
- "Customer Data" means information you enter into the App (including leads, notes, tags, templates).
- "Personal Information" has the meaning used under applicable privacy laws.
2) Beta Software; No Warranties
The App is a pre-release beta provided for evaluation/testing. It may contain bugs, interruptions, and data loss. THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
3) Eligibility; Account Security
- You must be at least 18 years old (or the age of majority where you live) to use the App.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- Do not share accounts. Notify us promptly at support@leadmanager.ca if you suspect unauthorized access.
4) Privacy Policy (Incorporated by Reference)
Our Privacy Policy explains what we collect, how we use it, where it may be stored/processed, and your choices. The Privacy Policy is part of these Terms. If you do not agree to the Privacy Policy, do not use the App.
5) Your Responsibilities for Customer Data
You represent and warrant that:
- You have the right and authority to collect, use, and upload Customer Data into the App;
- Where required, you have obtained all necessary consents from individuals whose data you input;
- You will comply with applicable laws (including privacy and anti-spam laws) when using the App.
6) Acceptable Use
You agree NOT to:
- Use the App for unlawful, harmful, or abusive purposes;
- Attempt to bypass security, access controls, entitlements, or rate limits;
- Probe, scan, or test the vulnerability of the App or our systems;
- Interfere with or disrupt the App (including load testing or DDoS);
- Use the App to build or help build a competing product using non-public features or confidential information.
7) Restrictions (IP, Reverse Engineering, Scraping)
The App, including code, UI/UX, data models, and design elements, is owned by us or our licensors.
You may not:
- Copy, reproduce, publish, mirror, or redistribute the App except as allowed by law;
- Reverse engineer, decompile, or attempt to derive source code or underlying algorithms;
- Scrape, harvest, or programmatically extract data from the App outside of normal user workflows.
Clarification: Exporting your own Customer Data using built-in export features is permitted.
8) Limited License
We grant you a revocable, non-exclusive, non-transferable, non-sublicensable license to use the App internally for your own business purposes during the beta, subject to these Terms.
9) Third-Party Services
The App may rely on third-party providers (e.g., cloud hosting, authentication, crash reporting, payments such as Stripe, and optional AI processing providers). Your use of those features may be subject to third-party terms. We are not responsible for third-party services outside our control.
10) Optional AI Features
If you use AI-related features (e.g., parsing), you authorize us to transmit the content you submit to third-party AI providers for processing to deliver the feature. Do not submit content unless you have the right to do so.
11) Confidentiality (Beta)
Non-public information about the App (screenshots, workflows, bugs, pricing, roadmaps, benchmarks) is our confidential information. You will not publicly share it without our written permission.
12) Feedback
If you provide feedback (bug reports, suggestions, ideas), you grant us the right to use it without restriction or compensation, to the fullest extent permitted by law.
13) Suspension; Termination
We may suspend or terminate access if we reasonably believe:
- You violated these Terms or the Privacy Policy;
- Your use risks harm to other users, the App, or our systems;
- Continued operation is not feasible (beta shutdown).
You may stop using the App at any time. You can request deletion using in-app tools or by emailing support@leadmanager.ca.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.
- OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED CAD $50.
15) Changes to These Terms
We may update these Terms from time to time. If changes are material, we will present the updated Terms in-app for acceptance. If you do not accept updated Terms, you may not be able to continue using the App.
16) Governing Law; Venue
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario.
